WEST GOSHEN TOWNSHIP BOARD OF 0SUPERVISORS MEETING April 23, 2003
A regular meeting of the Board of Supervisors of West Goshen Township was called to order by Chairman Edward G. Meakim, Jr., at 4:01 p.m. on Wednesday, April 23, 2003, at the West Goshen
Township Administration Building. All members were present. Mr. Meakim opened the meeting with the Pledge of Allegiance to the Flag.
Mr. Meakim opened the floor for public comment. No comments were made.
Mr. Meakim announced that the Spring Road Inspection by the Board of Supervisors was done on this date prior to the Board of Supervisors meeting.
Ms. Sharon Lynn, Township Manager, announced that West Goshen Township was awarded a $300 grant by the Chester County Commissioners on Tuesday, April 15, 2003 for completing Part 1 of the
mandatory Emergency Management Plan.
She added that Sgt. Donald A. Loane, Emergency Management Coordinator for West Goshen Township, has completed Part 2 of the plan and that the Township will receive an additional $300 when it is received by the County.
On motion by Ms. McIlvaine, seconded by Dr. White, the Board unanimously approved the bills to be paid from the General Fund, the Sewer Fund, the Capital Reserve Fund, and the Waste and
Recycling Fund.
Mr. Meakim introduced Mr. Ross A. Unruh, Esquire, Solicitor for the West Goshen Township Sewer Authority. Mr. Unruh introduced Mr. Edward R. Murray, Senior Vice President for Dolphin
& Bradbury Inc., who would be presenting a proposal for a Bond Purchase for the West Goshen Township Sewer Authority and Mr. David Unkovic, Esquire, Bond Counselor from Saul Ewing, who would be
presenting the ordinance naming West Goshen Township as Guarantor of the bonds. Mr. Unruh stated that the West Goshen Township Sewer Authority was presently meeting in the adjoining meeting room
and were anticipated to approve a resolution accepting the Bond Purchase Proposal for the Authority.
Mr. Murray explained that the purpose of the Bond Purchase Proposal between Dolphin and Bradbury and the West Goshen Township Sewer Authority was to retire the 1995 West Goshen Township Sewer
Authority Bonds through the issuance and sale of a new series of bonds. He added that the current bonds are refundable at a higher rate than is presently available in the market place.
Mr. Murray said that the savings for the year ending December 31, 2003 would be $395,892 with the total savings over the life of the bonds being $399,860 which represents 7% of the refunding bonds. He stated that this would improve the cash flow and reduce the debt of the Sewer Authority. Mr. Murray reviewed paperwork provided to the Supervisors including the Dolphin & Bradbury Bond Purchase Proposal, the statement of review of the proposal by counsel for the Township and Sewer Authority, the comparison of recent Bond Issues and the Moody's Investors Service Bond Rating. Mr. Murray explained that Township personnel had worked with Moody's Investors Service as they were doing their analysis of the Township. He said they looked at the credit of the Township as the guarantor of the sewer authority and at the ability of the Township to manage its income and debt service and found the Township manages its finances on a pay as it goes basis and that there is generally little borrowing for capital projects. For those reasons the rating for the Township was upgraded from A1 to Aa3.
Mrs. Evelyn Baker, 900 Sheridan Drive, asked for the total dollar value of the bonds that are outstanding and Mr. Murray responded that it is $5,235,000.
Mrs. Baker ask if the Sewer Authority would be issuing bonds in this amount or for more and Mr. Murray responded that it would be for $5,500,000 once the financing on the new bonds and interest on the old bonds are added in. Mrs. Baker inquired as to the interest rates for the old and new bonds and Mr. Murray answered that it slightly exceeded 5.5% on the old bonds and on the new bonds would be 3.6% on the longest maturity but that the average coupon value would be 3.06%, which provides a 250 basis points savings for the Sewer Authority. Mrs. Baker asked if the old bonds had been guaranteed by the Township and Mr. Murray responded that they were and that the new bonds would be also. Mrs. Baker asked if the new bonds would be Alternative Minimum Tax Exempt and Mr. Murray replied they are AMT Exempt and Triple Tax Exempt.
Mr. Unkovic stated that he had prepared Ordinance 07-2003 in cooperation with Mr. Ronald C. Nagle, Township Solicitor.
He said the Township under its current finances can incur up to $45,000,000 in lease rental debt or general obligation debt outstanding without the approval of voters and that the Township is well below the allowable amount. He explained that the debt under consideration is debt to the Sewer Authority which is guaranteed by West Goshen Township. Mr. Unkovic stated that this debt is considered to be self liquidating in that revenues of the Sewer Authority are sufficient to pay the debt over the life time of the bonds, therefore the Township is guaranteeing payment, and the Township will not have to pay the debt service on the bonds. He added that the bonds do not count against the debt limit of the Township unless the Sewer Authority becomes unable to repay the bonds.
Mr. Unkovic then reviewed the specifics of Ordinance 07-2003 and said that by enacting the ordinance the Board of Supervisors would be approving West Goshen Township acting as guarantor of the
new bonds for the Sewer Authority.
Mr. Nagle stated to the Board that he had reviewed the proposed ordinance in conjunction with Bond Counsel and found it to be proper and appropriate.
He said it had been duly advertised and that the certification of that advertising would be made part of the record.
On motion by Dr. White, seconded by Ms. McIlvaine, the Board unanimously approved Ordinance 07-2003 for a bond purchase to refund the West Goshen Township Sewer Authority Bonds.

On motion by Dr. White, seconded by Ms. McIlvaine, the Board unanimously approved awarding the bid to the lowest bidder, pending a review by Mr. Craig.
On motion by Ms. McIlvaine, seconded by Dr. White, the Board unanimously approved a Final Land Development Plan for renovations and additions to East High School for the West Chester Area
School District located at 500 Ellis Lane. Mr. Mark Groves from the West Chester Area School District and Mr. Ernie Graham from ELA Group were present to represent the plan.
On motion by Mr. Meakim, seconded by Dr. White, the Board unanimously approved a Subdivision Plan for a lot line change for Thomas Carricato located at 507 South Five Points Road. Mr.
Carricato and Mr. William Morrison were present to represent the plan.
On motion by Dr. White, seconded by Ms. McIlvaine, the Board unanimously approved Resolution 13-03 recognizing Shaun Condon for achieving the Eagle Scout Award.
Mr. Raymond H. Halvorsen, Public Works Director, introduced Shaun and explained that he had obtained this award by stenciling more than half of the storm drains in the township with "No Dumping – Drains to Stream" to satisfy a best management practices of the National Pollutant Discharge Elimination System, Phase II. Mr. Halvorsen commended Shaun's work and said he will receive his Eagle Scout award on Saturday, April 26, 2003.

There being no further business, on motion by Ms. McIlvaine, seconded by Mr. Meakim, the meeting was adjourned at 4:45 p.m.
